Pallav is the founder of Palit & Co and leads the firm’s dispute resolution and corporate advisory practice. Pallav advises various multinational and Indian corporate houses, businesses, HNW individuals, Public Sector Undertakings, etc., from diverse sectors and advises in relation to a wide spectrum of disputes and issues ranging from Constitutional Law, Commercial Contracts, Intellectual Property, White Collar Crimes, Energy, EPC projects & Infrastructure, Technology Laws, Administrative Laws, Labour and Employment, etc. Pallav is an active litigator and has led numerous high stake litigations before the courts of India and arbitration tribunals and delivered favorable results for his clients. Pallav is constantly consulted by business groups for complex issues arising in corporate transactions and contract execution as a strategic advisor and negotiator.

 

Pallav has a particular interest in the Engineering, Procurement and Construction (EPC) projects space. He advises participants including governments, developers, contractors, lenders, vendors, etc. on risk analysis, bid processes, project development, contractual issues, preventive measures, claim assessment, dispute management and litigation/ arbitration strategies. Pallav also has deep passion in field of Intellectual Property. He advises and assists owners on strategies on protection, effective use and enforcement of IP in line with commercial and business interests of client. He represents clients before courts in trademark infringements, counterfeiting, piracy matters for securing injunctions and other necessary reliefs.         

 

Pallav studied law at the prestigious Dr. RML National Law University, Lucknow, India. Prior to venturing into independent legal practice, Pallav worked with the Dispute Resolution team of Khaitan & Co, Advocates & Solicitors, India. Pallav is registered advocate with the BAR Council of India.

Mr. Amit Jain has served at the department as an IRS officer for over 25 years. During his tenure, he was part of the Central Board of Indirect Taxes and Customs (CBIC) and also represented the government before Customs, Excise and Service Tax Appellate Tribunal. In the year 2010, he took voluntary retirement to join Lakshmikumaran and Sridharan, Advocates where he was an Executive Partner leading the excise and customs litigation practice of firm from their New Delhi office. Mr. Jain has represented several domestic as well as international clients in high stake and complex litigation before departmental authorities, CESTAT, High Courts and Supreme Court and has several noteworthy judgments to his credit.

Narender specializes in advising and representing stakeholders in Mergers & Acquisitions (Public & Private), Business Restructuring, Joint Ventures, Cross Border Investments and Alliances,  Asset & Share Purchase transactions etc.  He has an extensive experience of over 15 years in the field and has represented various multinational companies, investors, private equity firms, etc in relation to high value M&A deals and is regularly recognized by clients for his ability to deliver solution driven transactional advice for effective closure.

Narender leads the private equity practice of the firm where he advises clients  relation to buy back, capital reduction, slump sales, leveraged buy outs, winding up etc. He also holds expertise in assignments related to inbound and outbound investment structuring. 

   

Narender spent many years working as a top consultant in Ernst & Young and Deloitte India where he worked in relation to transactions from diversified sectors. Narender is a qualified Lawyer and a Chartered Accountant.

SANDEEP SOMISETTY

Sandeep Somisetty studied Law (JD) from Columbia Law School, United States. Sandeep has extensive experience in regulatory, legal, and commercial matters and has worked not only in large corporate conglomerates but also in clean energy entrepreneurial projects and consulting set. He has developed deep expertise by working on short to long term assignments in the areas of project finance, transaction advisory, legal and regulatory affairs, business and project development. Working in a multi-stakeholder environment, he has engaged in dialogue, negotiated and built consensus on several matters with top-level government officials, commercial banks, non-banking financing corporations, multilateral development banks, lawyers, consultants, and contractors. He has also been involved in filing regulatory tariff petitions for the largest power projects in the country, leading to landmark judgments of tariff revisions. He has assisted Reliance Power, GMR Energy, Oakridge Energy, Sri Avantika Contractors, Mytrah Energy, and the Equis backed DANS group and worked with their lawyers in filing tariff petitions, drafting arguments, and eventually obtaining favourable judgments. He has experience in working on tariff petitions at Central and State Electricity Regulatory Commissions. In his previous roles, he had also, as part of industry associations, worked closely with regulators and policy makers to formulate and notify critical policy decisions and ERC regulations. He has been an integral part of industry associations such as APP, FICCI, IPPAI, WIPPA, etc. His key skills include Regulatory and legal affairs; structuring and negotiating commercials and contracts; Business case development; Raising private sector capital etc.
